WARRANTY DISCLAIMER

Everfilt® Water Filtration Systems, Inc. (“Everfilt”) makes no express or implied warranties, including without limitation warranties of merchantability or fitness for a particular purpose, or warranties related to design, workmanship, materials, or otherwise, with respect to goods and products sold by Everfilt but not manufactured by Everfilt®. With regard to goods and products manufactured by Everfilt®, see Section 10 below. Everfilt® makes no other express or implied warranties with respect to such goods.

 

Any description of goods appearing on the face of this document is for the sole purpose of identification and does not constitute a warranty of any kind.

1. Acceptance of Terms

​

This agreement consists of these Terms and Conditions together with the information set forth on the face of this document. By accepting delivery of the goods, purchaser acknowledges that purchaser has read, understands, and agrees to be bound by these Terms and Conditions (“Everfilt Terms and Conditions”). Any credit application submitted to Everfilt® is incorporated herein by reference. These Terms and Conditions may not be modified except by written agreement signed by an authorized officer of Everfilt®. Any additional or conflicting terms proposed by purchaser are expressly rejected.

2. Validity of Pricing

​

Unless otherwise stated in writing, all pricing is valid as stated on the applicable quotation. If no validity period is specified, pricing shall remain valid for fourteen (14) calendar days from the quotation date. Everfilt® reserves the right to shorten the standard validity period to ten (10) days due to market volatility ( this is incase for some reason pricing increases before the 14 days indicated on original quote). For projects requiring approvals or progressive payments, milestones must be completed within thirty (30) calendar days or pricing may be reviewed and adjusted. Net 30 terms as indicated on quote must be completed within given time frame, special order equipment is subject to a 40% deposit and balance due prior to shipping.

3. Terms of Payment​

​

Unless otherwise stated, payment is due within thirty (30) days of invoice date. Payments shall be made in U.S. dollars. Past-due invoices shall accrue a service charge of 1.5% per month or the maximum rate allowed by law. Purchaser may not offset any amounts owed. Sales tax, if applicable, will be added to the invoice total.

4. TERMS OF DELIVERY​

​

Unless otherwise agreed in writing, all shipments are F.O.B. point of origin. Risk of loss transfers to purchaser upon delivery to the carrier. Freight prepaid shipments will be invoiced accordingly; all other freight charges are the responsibility of the purchaser.

​

5. Shortages​

​

Claims for shortages must be submitted in writing within ten (10) days of receipt. Freight damage or loss claims must be filed directly with the carrier.

​

6. Shipping, Storage, & Fees

​

Products will ship upon readiness. Everfilt does not store equipment without prior written authorization. “Will Call” orders will be invoiced within three (3) days of completion.

 

Storage fees apply as follows:

​

• Days 31–90: 1.5% weekly

• Days 91–180: 3% weekly

• Beyond 181 days: 5% weekly

 

All storage fees are due upon invoice receipt. Everfilt is not liable for damage, theft, vandalism, or rework while in storage.

7. Returns

​

Returns are accepted only with written authorization and an Everfilt-issued RMA. Custom or non-standard products are non-returnable. Standard products returned for customer error are subject to a minimum 35% restocking fee or $35.00, whichever is greater. All shipping and handling costs are the purchaser’s responsibility.

8. Non-Standard Products

​

Returns are accepted only with written authorization and an Everfilt-issued RMA. Custom or non-standard products are non-returnaCustom, special-order, or non-standard products may not be cancelled or returned once ordered. Purchaser is responsible for all costs incurred.

​

9. Products Not Manufactured by Everfilt​

​

Products not manufactured by Everfilt® are subject solely to the original manufacturer’s warranty, if any. Everfilt® disclaims all warranties for such products.

​

10. Limited Warranty – Products Manufactured by Everfilt

​

Everfilt® warrants that products it manufactures will be free from defects in material and workmanship, excluding paint and coatings, for five (5) years from shipment date. Reconditioned products carry a one (1) year warranty, except epoxy composite products which carry a sixty (60) day warranty.

​

This warranty excludes damage from misuse, improper installation, corrosion, abrasion, extreme conditions, or acts of God. This Limited Warranty is exclusive and non-transferable and replaces all other warranties.

​

11. Purchaser’s Remedy

​

Purchaser’s sole remedy under this warranty is repair or replacement at Everfilt’s discretion. Freight and labor are excluded. Everfilt® is not liable for incidental or consequential damages.

​

12. Events Voiding Warranty

​

Warranty is voided by unauthorized modification, improper use, failure to notify Everfilt® of defects, or operation outside specified guidelines.

​

13. Force Majeure​

​

Everfilt® is not liable for delays or failure due to causes beyond its reasonable control.​

​

14. Improper Use Disclaimer​

​

Everfilt® is not responsible for damages caused by improper installation, misuse, or unauthorized repairs.

​

15. Disclaimer of Incidental & Consequential Damages

​

Everfilt® shall not be liable for indirect, special, or consequential damages of any kind.

​

16–18. Field Repairs, Alterations, Limitation of Liability

​

Unauthorized field repairs or alterations void warranty. Everfilt’s total liability shall not exceed the purchase price.

​

19. Catalog

​

Catalog and website information is subject to change and does not constitute a warranty.

​

20–26. Legal Provisions

​

Includes breach remedies, no waiver, assignment restrictions, entire agreement, severability, governing law (State of California), dispute venue, and attorney’s fees.

27–31. Miscellaneous

​

Headings are for convenience only. Intellectual property remains the exclusive property of Everfilt®. Acceptance of goods constitutes acceptance of these Terms and Conditions.
